These Terms of Service ("Terms") are a legal agreement between you and the entity you represent ("you", "Customer") and dhvati ("dhvati", "we", "us") — a product of Adiyogi Technologies, Coimbatore, Tamil Nadu, India. They govern your access to and use of the dhvati agent-authorization platform, including the dhvati Console, the dhvati Gateway, the control plane, and the dhvati connector for Claude and other AI clients (together, the "Service"). By accessing or using the Service — including by installing or connecting the dhvati connector — you agree to these Terms. If you are agreeing on behalf of an organization, you represent that you have authority to bind that organization.
dhvati is infrastructure that authenticates the employee behind an AI agent, decides whether a given tool call is permitted by your organization's policy, injects the appropriate credential, and records an audit trail. Enforcement happens at the dhvati Gateway, which may run on infrastructure you control (self-hosted / on-prem) or hosted by us. We may update, improve, or change features of the Service over time.
The Service is intended for businesses and their workforce, not for consumers or anyone under 16. You are responsible for your account, your organization's configuration (roles, policies, grants, connections), and all activity under your account. You must provide accurate information and keep your credentials secure.
You agree not to:
You retain all rights to your data. In most deployments your organization is the data controller and dhvati acts as a data processor under your instructions. Vendor credentials that the Gateway custodies are held in an encrypted vault and injected only at call time; the agent never receives them. In self-hosted deployments, credentials and audit records remain on your infrastructure and are never transmitted to us. Our handling of personal data is described in our Privacy Policy, which is incorporated into these Terms.
The Service governs calls to third-party systems (such as Slack, GitHub, internal APIs, and MCP servers) and is used alongside third-party AI clients (such as Claude). You are responsible for your own accounts and OAuth applications with those providers and for complying with their terms. dhvati is not affiliated with, endorsed by, or responsible for those third parties, and their availability or changes may affect the Service. Where you connect the dhvati connector to an AI client, your use of that client remains subject to the client provider's own terms.
Some plans are offered free of charge, including trials, design-partner engagements, and evaluation access; others are paid under a separate order or subscription. Fees, if any, are set out in the applicable order form or plan and are non-refundable except as required by law or expressly stated. We may change pricing for future terms on reasonable notice.
The Service, including its software, design, and documentation, is owned by Adiyogi Technologies and its licensors and is protected by law. We grant you a limited, non-exclusive, non-transferable right to use the Service during your term, subject to these Terms. We welcome feedback and may use it to improve the Service without obligation to you. All rights not expressly granted are reserved.
Each party may receive information the other treats as confidential. The receiving party will use such information only to perform under these Terms and will protect it with reasonable care. This does not apply to information that is public, independently developed, or rightfully received from another source without a duty of confidentiality.
We provide the Service with reasonable skill and care. Except as expressly stated, the Service is provided "as is" and "as available", and to the fullest extent permitted by law we disclaim all other warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted or error-free, or that it will prevent every unauthorized action.
To the fullest extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or data, arising out of or relating to the Service. Except for your payment obligations and either party's breach of confidentiality, each party's total aggregate liability arising out of these Terms will not exceed the greater of the fees you paid for the Service in the twelve months before the claim or INR 50,000.
You will defend and indemnify dhvati against third-party claims arising from your misuse of the Service, your data, or your violation of these Terms or applicable law, except to the extent caused by our own breach.
These Terms apply while you use the Service. Either party may terminate for material breach not cured within a reasonable period, and you may stop using the Service at any time. We may suspend access to protect the Service, other customers, or to comply with law. On termination, your right to use the Service ends; self-hosted components you run remain under the applicable license terms. Provisions that by their nature should survive termination will survive.
We may update these Terms as the Service evolves. Material changes will be reflected by the "Last updated" date above and, where appropriate, communicated to account administrators. Continued use after changes take effect constitutes acceptance.
These Terms are governed by the laws of India, without regard to conflict-of-laws rules. The courts of Coimbatore, Tamil Nadu, India will have exclusive jurisdiction, subject to any separate written agreement between the parties.
